1. About Us and These Terms
1.1 These Terms of Use (“Terms”) apply to your access to and use of the websites, digital services, and online features operated by Acorn Studio Press Ltd (“ASP”, “we”, “us”, “our”), including any content, pages, customer accounts, digital downloads and QR-linked extras made available by us (together, the “Site”).
1.2 ASP is a company registered in England and Wales under company number 16717513. Registered office: Acorn Studio Press, Unit A, 82 James Carter Road, Mildenhall Industrial Estate, Suffolk, IP28 7DE.
1.3 By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you must not use the Site.
1.4 Additional terms may apply to specific services, purchases, subscriptions, promotions, or programmes (including without limitation our Conditions of Sale, Subscription Terms, Privacy Notice, and Cookie Policy) (together, the “Supplementary Terms”). If there is any inconsistency between these Terms and any Supplementary Terms, the Supplementary Terms will prevail for those specific services.
2. Eligibility and Account Registration
2.1 You must be at least 18 years old to make purchases or open a customer account. Where the Site is used in connection with children (for example, to access learning materials provided to a parent or school), the account holder must be an adult and remains responsible for the child’s use.
2.2 You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately of any unauthorised use or security breach. We may suspend or close accounts that we reasonably believe are compromised, inactive, or used in breach of these Terms.
3. Permitted Use and Acceptable Use
3.1 You may use the Site only for lawful purposes and in accordance with these Terms.
3.2 You must not (and must not permit anyone to):
a) misuse the Site (including by introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful);
b) attempt to gain unauthorised access to the Site, the server on which it is stored, or any server, computer or database connected to the Site;
c) copy, scrape, harvest, index, or otherwise extract data or content from the Site (including by automated means) except as expressly permitted by us;
d) use the Site in any manner that could disable, overburden, damage, or impair it, or interfere with any other party’s use;
e) use the Site for any fraudulent, deceptive, or illegal purpose, or in a way that infringes any third party rights (including intellectual property, privacy, or confidentiality).
4. Intellectual Property
4.1 The Site and all content on it (including text, images, artwork, logos, trade marks, audio-visual content, learning materials, worksheets, digital downloads, QR-linked extras, software and code) are owned by or licensed to ASP and are protected by copyright, trade mark and other intellectual property rights worldwide. “Acorn Studio Press”, “Acorn Explorers”, “Acorn Stories”, “Acorn Pathways”, “Build Mindset”, their associated logos and get-up are trade marks or unregistered marks of ASP.
4.2 You are granted a limited, revocable, non-transferable licence to access the Site for personal, non-commercial use only. Except as expressly permitted by (i) these Terms, (ii) applicable statutory exceptions (e.g., fair dealing), or (iii) a licence or permission we expressly grant to you in writing, you must not reproduce, distribute, adapt, translate, publicly display, sell, resell, or create derivative works from any part of the Site or its content.
4.3 Digital Content Licence. Where we provide digital content (including downloads and QR extras) as part of a purchase or subscription, we grant you a personal, non-exclusive, non-transferable licence to use that content solely for your household’s private educational purposes. Schools and organisations require a separate licence. You must not upload, share, or redistribute digital files or printables beyond this licence. Technical measures may be used to enforce licensing.
5. User Content
5.1 If you submit, upload or post any content to the Site (e.g., feedback, reviews, images, or educational artefacts) (“User Content”), you grant ASP a worldwide, royalty-free, perpetual licence to use, host, store, reproduce, modify, adapt, publish, translate, create derivative works from, and display such User Content for the purposes of operating, promoting, and improving the Site and our services.
5.2 You confirm you have all rights necessary to grant this licence and that your User Content does not infringe the rights of any third party or breach any law. We may remove User Content that we reasonably consider inappropriate, unlawful or in breach of these Terms.
6. Information, Accuracy and Availability
6.1 We take reasonable care to ensure the Site is accurate, but the Site is provided “as is” and “as available”. To the fullest extent permitted by law, we do not warrant that the Site or any content is accurate, complete, up-to-date, error-free or uninterrupted.
6.2 We may update, suspend, withdraw, or restrict the availability of all or any part of the Site for business and operational reasons without notice.
7. Purchases, Subscriptions, Delivery and Returns
7.1 Any orders you place with us (including for Acorn Explorers subscriptions and Acorn Stories products) are governed by our Conditions of Sale and, where applicable, our Subscription Terms, Delivery & Shipping Policy, and Returns & Refunds Policy. Please read those documents carefully before purchasing.
7.2 Global Shipping. We ship worldwide; charges and timings vary by destination (details in our Delivery & Shipping Policy).
7.3 Pathways Programmes. Materials distributed through schools, hospitals, or funded channels under Acorn Pathways are not consumer sales. Unless otherwise stated in writing, Pathways packs have a nominal returns value of £0.00001 and are not returnable for refund.
7.4 Cancellations/Returns (headline for clarity):
Subscriptions may be cancelled at any time; a 14-day cooling-off period applies to new sign-ups (see Subscription Terms).
Made-to-order or opened/used Explorers subscription packs are not refundable once dispatched if no longer in resaleable condition. If unsure, we recommend Try-Before-You-Buy (TBYB) or standalone items first.
Acorn Stories books and non-custom items may be returned if unused and resaleable (see Returns & Refunds Policy).

8. Privacy and Cookies
8.1 We will process personal data in accordance with our Privacy Notice and Cookie Policy, which explain what we collect, why we collect it, and your rights.
8.2 The Site is not intended for children under 16 to use without adult supervision. We do not knowingly collect personal data from children under 16 without appropriate consent.
9. Third-Party Links and Services
9.1 The Site may contain links to third-party websites or services. We are not responsible for, and do not endorse, any third-party content, products, services, or privacy practices. You access third-party sites at your own risk.
10. Our Responsibility to You
10.1 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.
10.2 Subject to clause 10.1, and to the fullest extent permitted by law:
a) the Site and its content are provided without warranties of any kind (express or implied); and
b) we shall not be liable for (i) loss of profit, revenue, business, goodwill or data; (ii) indirect or consequential loss; and (iii) any loss arising from events beyond our reasonable control.
10.3 Subject to clause 10.1, our total liability to you for any loss or damage arising out of or in connection with these Terms or your use of the Site shall not exceed £100 or, if you have purchased products or services from us, the amount paid by you to ASP in the 12 months preceding the claim (whichever is greater).
11. Indemnity
11.1 You agree to indemnify and hold ASP harmless from and against all liabilities, costs, claims and expenses (including reasonable legal fees) arising from your breach of these Terms or misuse of the Site.
12. Suspension and Termination
12.1 We may suspend or terminate your access to the Site at any time if we reasonably believe you have breached these Terms, any Supplementary Terms, or applicable law. Upon termination, all rights granted to you under these Terms will cease immediately.
13. Changes to the Site or These Terms
13.1 We may revise these Terms from time to time. The updated Terms will be effective when posted on the Site with a new “Last updated” date. Your continued use of the Site constitutes acceptance of the updated Terms.
14. General
14.1 Governing Law. These Terms are governed by the laws of England and Wales, and the courts of England shall have exclusive jurisdiction, without prejudice to your statutory rights.
14.2 Severability. Each paragraph operates separately. If any part is found unlawful or unenforceable, the remaining parts remain in full force.
14.3 No Waiver. Any delay or failure to enforce rights does not constitute a waiver.
14.4 Assignment. We may transfer our rights and obligations under these Terms to another organisation, provided this does not materially reduce your rights. You may not transfer your rights or obligations without our prior written consent.
14.5 Third-Party Rights. No one other than you and ASP has any rights under these Terms (Contracts (Rights of Third Parties) Act 1999 excluded).
