These Conditions of Sale (“Conditions”) govern the sale of products and services by Acorn Studio Press Ltd (“ASP”, “we”, “us”, “our”) to you (“you”, “your”) through our websites, digital services, and authorised channels.

By placing an order with us, you agree to be bound by these Conditions, our Website Terms of Use, Subscription Terms, Privacy Notice, and Cookie Policy (together, the “Terms”).

1. Our Contract

1.1 Your order constitutes an offer to purchase the product(s). We will send an email acknowledging receipt of your order, but acceptance of your offer and formation of the contract takes place only when we dispatch the product(s) to you.
1.2 If we cannot accept your order (for example, due to unavailability, error in pricing, or delivery restrictions), we will notify you and refund any payment made.

2. Products

2.1 Product descriptions and images on our Site are for illustrative purposes only. While we take care to ensure accuracy, colours, packaging and presentation may vary.
2.2 Some products (including subscription packs under Acorn Explorers) are made to order and tailored to individual dispatch cycles. Such products may not be resold once opened or used.

3. Pricing and Payment

3.1 All prices are shown inclusive of legally applicable VAT (where charged) and are displayed on the Site at the time of order.
3.2 We take payment at the time you place your order, using approved payment methods listed on our Site (including major debit/credit cards and authorised payment services).
3.3 We reserve the right to refuse an order if payment cannot be authorised.

4. Delivery and Shipping

4.1 We ship worldwide. Shipping charges, carriers, and estimated delivery times vary by destination and will be displayed at checkout.
4.2 Delivery estimates are not guaranteed. We are not liable for delays caused by customs clearance, postal disruption, or other circumstances beyond our control.
4.3 Risk of loss or damage passes to you upon delivery. Legal ownership of products passes only once payment has been received in full.

5. Cancellation, Returns and Refunds

5.1 Cooling-off period. You may cancel your order within 14 days of placing it and receive a full refund, provided your order has not yet been dispatched. If it has been dispatched, you may exercise your statutory right to return (clauses 5.2–5.4 apply).
5.2 Subscriptions. Subscriptions may be cancelled at any time. If you cancel after dispatch, you will not be entitled to a refund for that dispatch cycle if the pack is made to order and no longer fit for resale. Future cycles will not be charged.
5.3 Acorn Explorers. If a subscription pack has been opened, worked in, or is otherwise no longer in resaleable condition, it is not eligible for refund. If unopened and resaleable, you may return it within 30 days of receipt for a refund of the product price. If you are unsure, we recommend using our Try-Before-You-Buy (TBYB) or standalone items before committing to a subscription.
5.4 Acorn Stories. Books and non-custom items may be returned if unused and in resaleable condition within 30 days of receipt. You are responsible for return postage unless the product is faulty.
5.5 Pathways. Products provided through Acorn Pathways (including school, hospital, or funded channels) are not consumer sales. Unless otherwise stated in writing, Pathways packs have a nominal returns value of £0.00001 and cannot be returned for refund.
5.6 Faulty or misdescribed products. Nothing in these Conditions affects your statutory rights. If a product is faulty, not as described, or otherwise defective, you may be entitled to a repair, replacement, or refund in accordance with applicable law.

6. Data and Privacy

6.1 We will process your personal data in accordance with our Privacy Notice. By placing an order, you consent to our use of your data as necessary to process and fulfil your order.

7. Liability

7.1 Nothing in these Conditions excludes or limits our liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under English law.
7.2 Subject to clause 7.1, we exclude all implied warranties, conditions, and other terms to the fullest extent permitted by law.
7.3 Our maximum liability to you, whether in contract, tort (including negligence) or otherwise, shall be limited to the price paid for the relevant product(s). We are not liable for indirect or consequential loss, including loss of profits, goodwill, data, or opportunity.

8. Governing Law

8.1 These Conditions are governed by and construed in accordance with the laws of England and Wales.
8.2 The courts of England shall have exclusive jurisdiction in relation to disputes, without prejudice to your statutory rights.

9. Amendments

9.1 We may update these Conditions from time to time. The version in force at the time you place your order will apply to that order.
